David is a partner and founder of Alliance Counsel. He has over eighteen years of experience, both as former in-house counsel for two technology companies and as a partner in private practice. Prior to founding Alliance Counsel, he built a successful practice based on an "Outsourced General Counsel" model, managing all legal matters for a variety of small and mid-size companies.
As Corporate Counsel for Alchemedia Technologies, Inc., he managed all legal functions for a 90-employee information security software company. Mr. Ames drafted and negotiated complex technology and software license agreements and was responsible for contracts in all departments. Significant deals included: OEM agreement with RSA Security; reseller agreements with Adobe and SPSS; strategic partnerships with Oracle and Akamai; and over 40 enterprise software license deals. Further, he managed litigation and trademark and patent applications and restructured over $4M of outstanding debt with creditors.
Before Alchemedia, Mr. Ames was in-house counsel for Aptimus, Inc. (formerly XMarkstheSpot, Inc), where he managed all legal functions for a 55-employee marketing technology company. He crafted and negotiated over 250 technology and services agreements and managed trademark and patent applications. In addition, he led the legal team in the acquisition of XMarkstheSpot by Aptimus.
Prior to Aptimus, Mr. Ames was in private practice as a partner and lead litigation attorney for the Hyde Law Corporation. He tried numerous cases and handled more than 40 arbitrations and 80 mediations. These cases involved complex business disputes, including breach of contract, trade secrets, fraud and employment law. Clients included Nike, Crystal Geyser Water Company, USX (formerly US Steel), IL Fornaio Restaurants and Environmental Defense Fund.
Mr. Ames graduated with honors from the University of California, Berkeley and earned his law degree from Santa Clara University School of Law. He has authored legal articles published in the San Francisco Barrister Law Journal. He is currently on a leave of absence from the firm.
